IHH HEALTH COACHING CONTRACTOR AGREEMENT


This Health Coaching Contractor Agreement ("Agreement") is made and entered into as of , by and between FCSA WA PTY PTD t/as INVICTUS HEALTH HUB, a proprietary limited company organized and existing under the laws of Western Australia, referred to herein as the ("Company"), and as an authorised signatory for , registration referred to herein as the ("Contractor").

1. Services

The Contractor agrees to provide health coaching services ("Services") as described in Exhibit A attached hereto, on a non-exclusive, commission-based arrangement, under the terms and conditions set forth in this Agreement.

2. Term

The term of this Agreement shall commence on the date of signing and shall continue in full force and effect indefinitely, unless terminated in accordance with the provisions of this Agreement.

3. Compensation

The Contractor shall be compensated based on a commission structure as described in Exhibit B attached hereto. No retainer or other form of fixed compensation shall be payable under this Agreement.

4. Independent Contractor Status

The Contractor is an independent contractor and is not an employee, partner, or co-venturer with the Company. The Contractor shall be responsible for all taxes, withholdings, and other statutory, regulatory, and contractual obligations of any sort, including, but not limited to, workers' compensation insurance.

5. Insurance

The Contractor shall, at their own expense, maintain public liability insurance, the appropriate professional indemnity insurance and, if applicable, workers' compensation insurance in amounts sufficient to cover all obligations and liabilities under this Agreement and as required by law.

6. Intellectual Property

All materials, information, and intellectual property provided to the Contractor by the Company or developed in the course of performing the Services under this Agreement shall remain the sole and exclusive property of the Company. The Contractor hereby assigns to the Company any rights, title, and interest it may have in such materials, information, and intellectual property.

7. Confidentiality

The Contractor agrees to keep confidential and not disclose to any third party any proprietary information related to the Company's business, customers, or potential customers, except as may be necessary to perform the Services under this Agreement, without the Company's prior written consent.

8. Termination

Either party may terminate this Agreement upon 60 days written notice to the other party. Upon termination, the Contractor shall return all Company materials, information, and property.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Western Australia, without regard to its conflict of law principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.

IN WITNESS WHEREOF, by their signatures the parties hereto have executed this Agreement as of the date stamped on this document at the time of execution.

  • Exhibit A: Description of Services
    • Title: IHH Support Coach
      • Succussion Plan: IHH Coaching Team Leader
    • Delivered service will be specific to DETOXIFY™ 
      • Specifically, the delivery of Group Call Services as detailed within the DETOXIFY™ framework (attached).
    • Provide real-time support to enrolled clients via WhatsApp or Email.
    • Attend and contribute at monthly coaching meetings. 

Invictus Detoxify Timeline

  • Exhibit B: Commission Structure
    • $125 AUD, tax inclusive, per assigned client.
    • Commissions are based on a 'per person served' basis and are payable on the successful completion of each group.
    • The agreed amount to be invoiced by the Contractor to the Company within 7 days of program completion.
    • Payment will be made on invoice by the Company to the Contractor on or before the last day of the month.
    • The company reserves the right to, at any time, review any invoice for accuracy; any anomaly's requiring corrections will be actioned in subsequent payments to the Contractor.
